Combining management system & Restructuring specialized departments

During the observance of the prevention of Covid-19 epidemic and social distancing, Deo Ca Group implemented the Program of Combining Management System and Restructuring specialized departments to strengthen the executive management system, “take the Group as the center” and improve specialized capacity, optimize resources. The main contents of the program include Consolidating executive management system and Restructuring specialized departments.

Specialized departments report the proposal to the Chairman of the BOM

Regarding the consolidation of the Executive management system, building models, organizational structures and specifing the functions and tasks of each units, departments and specialized teams/groups, at the same time re-establishing personnel structure to improve leadership capacity, effective management throughout. In particular, the Secretariat merged into the Assistant Board to become the “Assistant – Secretary Board” performing the assisting function for the Chairman of the BOM and the BOM. The Risk Management and Internal Audit Board under the Board of Management and the Legal Department under the Board of Directors are merged into the “Legal - Internal Audit Board” and move back to the Board of Directors, similarly, the Public Relation Board from the Board of Management move back to the Board of Directors’management.

Restructuring Specialized Boards to specify the roles and functions of each Boards to ensure covering the Group's activities. The Boards with similar functions are merged, for example the “Risk Management and Internal Control Boards” and the “Legal Department”, on the other hands expanding the functions scope such as the “Equipment Management & Procurement Department” perform the purchasing function and managing equipment. For the “Project Investment & Development Board”, there is a specialized staff for permanent operation to meet new requirements in the context of competition and integration. The content of restructuring is specifying the functions, tasks, organizational structure, human resource, policies, processes and tools.

Currently, the specialized departments have been approved to protect the proposal outline, presenting the content of the first project with the Restructuring Board.

Restructuring Committee is expected to coordinate with the specialized Boards to carry out a survey trip to all departments in the system after the holidays on April 30 to May 1, and to disseminate information about The Chairman's program of Restructuring, Corporate Culture, ideology and executive tools as well as research and identify the existing problems and limitations as a basis for completing the Restrucring Project practical, scientific and effective.

According to the plan, in May 2020, the specialized departments will defense the Project to the Board of Management then it will be officially applied to the Group.
